Fox didn't have much faith in the film. Lucas traded some of his director's fee for the merchandising rights.

EDIT: according to Tom Pollock, that didn't happen. Apparently Fox had the merchandising rights, then they wanted to go ahead with the sequel but Lucas would only agree if he got the merchandising rights back off them which Fox agreed.

Finally got round to this - only made it half-way. Not as bad as the prequels but not far off.
